Terms of Service

These Terms of Service ("Terms") govern your access to and use of the SearchNow.ai website, applications, tools, and related services (collectively, the "Services"), including any software, scripts, instruction sets, and documentation provided as part of the Services (collectively, "Software"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Services.

SearchNow.ai is designed with privacy at its core. The majority of our tools process your files locally on your device — your documents never leave your computer unless explicitly required for a specific cloud-enabled feature (and only then with your clear consent). We do not store, scan, or mine your files for advertising or profiling purposes. Please also review our Privacy Policy to understand how we handle any personal data.

1. Acceptance of Terms

By using the Services in any manner — including browsing the website, uploading files, or utilizing any tool — you represent that you have read, understood, and agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Age Requirement. You must be at least 16 years of age to use the Services. If you are based in the European Economic Area or a jurisdiction with similar regulations, you may only use the Services if you are over the age at which you can lawfully provide consent to data processing under the laws of your country, or if verifiable parental consent has been provided.

2. Description of Services

SearchNow.ai provides a suite of professional PDF and document tools, including but not limited to: merging, splitting, compressing, converting (to and from PDF and other formats), organizing pages, OCR (optical character recognition), encryption, decryption, repair, and intelligent content extraction.

2.1 Local Processing

A core design principle of SearchNow.ai is local-first processing. Unless a feature explicitly requires server-side resources (such as certain advanced OCR models or cloud-sync capabilities that you opt into), all file processing occurs directly within your browser or desktop application. Your files remain on your device and are not uploaded to any remote server.

2.2 Free and Pro and Max Features

Certain tools are available free of charge, while others may require a paid subscription or one-time purchase ("Pro and Max Features"). The current scope of free and premium offerings is displayed on our website. We reserve the right to modify which features are free or paid at any time, with reasonable notice for subscribed users.

2.3 Pre-release and Beta Features

We may designate certain Services or features as pre-release, beta, or experimental ("Pre-release Versions"). Pre-release Versions are provided "as-is," may contain defects, and are not guaranteed to be made generally available. We may discontinue or modify Pre-release Versions at any time without liability.

3. User Content and Search Queries

3.1 Ownership

You retain all rights and ownership of the files, documents, images, and other content you provide, upload, or process through the Services ("User Content"). SearchNow.ai does not claim any ownership rights whatsoever in your User Content. We do not sell, license, or monetize your content.

3.2 Limited Access

Your search queries and prompts are processed on our servers to generate AI summaries, mindmaps, HTML reports, and presentations. We temporarily process your queries solely to provide the requested service. Query data is not used for any other purpose and is handled in accordance with our Privacy Policy.

3.3 Your Responsibilities

You are solely responsible for your User Content. You represent and warrant that:

• You own or have the necessary rights to submit and process the User Content through our Services;
• Your User Content does not infringe any third-party intellectual property rights, privacy rights, or other legal rights;
• Your User Content does not contain malicious code, viruses, or illegal content;
• You will maintain appropriate backups of your files — while we strive for reliability, we cannot guarantee against data loss in all circumstances.

4. Intellectual Property

4.1 SearchNow.ai IP

We (and our licensors) retain all right, title, and interest in and to the Services and Software, including all associated intellectual property rights — such as copyrights, trademarks, trade secrets, patents, and proprietary algorithms. Nothing in these Terms grants you any right, title, or interest in the Services or Software except the limited license to use them as described herein.

4.2 License to Use

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purposes. You may not:

• Copy, modify, decompile, reverse-engineer, or create derivative works of the Software;
• Resell, sublicense, rent, or lease the Services or Software to any third party;
• Use the Services or Software to build a competing product or service;
• Remove, obscure, or alter any proprietary notices or labels on the Services or Software.

4.3 Feedback

If you provide us with suggestions, ideas, or feedback about the Services ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into our Services without any obligation or compensation to you.

5. User Conduct

5.1 Responsible Use

You agree to use the Services responsibly and lawfully. You must not misuse the Services in any way, including but not limited to:

• Uploading or processing files that contain malware, viruses, or harmful code;
• Using the Services to process illegal, abusive, harassing, or fraudulent content;
• Attempting to gain unauthorized access to our systems, servers, or other users' data;
• Circumventing any security, access control, or usage restrictions we implement;
• Using automated means (bots, scrapers, etc.) to access the Services in a manner that imposes an unreasonable load on our infrastructure;
• Engaging in any activity that disrupts or interferes with the proper functioning of the Services;
• Encrypting or protecting files in jurisdictions where such actions are prohibited by law.

5.2 Account Security

If you create an account with us, you are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account. We are not liable for any loss arising from unauthorized use of your credentials.

6. Privacy and Data Handling

Our Privacy Policy describes how we collect, use, and safeguard personal data. By using the Services, you agree to the practices described in the Privacy Policy.

6.1 No File Scanning or Profiling

SearchNow.ai does not scan, analyze, or profile the content of your User Content for advertising, marketing, or any purpose other than providing the specific tool functionality you request. We do not build user profiles based on document content.

6.2 Analytics

We may collect anonymized usage data (such as which search topics are most popular and aggregate performance metrics) to improve the Services. This data does not include the content of your queries or any personally identifiable information derived from them.

7. Fees, Payments, and Subscriptions

7.1 Pricing

Current pricing for Pro and Max plans is published on our pricing page. All prices are subject to change. If we change pricing for a subscription you hold, we will notify you at least 30 days in advance via email or through the Services. Your continued use after the price change takes effect constitutes acceptance of the new pricing.

7.2 Billing and Renewal

Paid subscriptions automatically renew at the end of each billing period unless cancelled beforehand. You authorize us to charge your payment method for the renewal term. If a payment fails, we may retry for a reasonable period before suspending access to Pro and Max Features.

7.3 Cancellation and Refunds

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period — you will retain access to Pro and Max Features until that date. Refunds are handled on a case-by-case basis in accordance with applicable law.

7.4 Free Trials

Free trials are offered at our discretion and may not be available in all regions. If you sign up for a free trial, you must cancel before the trial period ends to avoid being charged. Free trials are limited to new customers unless otherwise stated.

7.5 Third-Party Fees

You are responsible for any fees charged by third parties in connection with your use of the Services — such as internet service provider fees, mobile data charges, currency conversion fees, or credit card processing fees. We have no control over such charges.

8. Third-Party Services and Links

The Services may contain links to third-party websites, services, or resources that are not owned or controlled by SearchNow.ai. We are not responsible for the content, policies, or practices of any third-party services. You access them at your own risk, and we encourage you to review their respective terms and privacy policies.

9. Disclaimers of Warranties

9.1 "As-Is" Basis

THE SERVICES AND SOFTWARE ARE PROVIDED "AS-IS" AND "AS-AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. To the fullest extent permitted by applicable law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and those arising from course of dealing or usage of trade.

9.2 No Guarantees

We do not guarantee that the Services will be uninterrupted, error-free, secure, or available at all times. We do not guarantee that any defects will be corrected, or that the results obtained from using the Services will be accurate, complete, or reliable. You use the Services at your own discretion and risk.

9.3 Electronic Signatures

If we offer electronic signature functionality, we do not guarantee that such signatures are legally binding in every jurisdiction. It is your responsibility to determine whether electronic signatures meet the legal requirements applicable to your specific use case.

10. Limitation of Liability

10.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEARCHNOW.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, whether arising out of contract, tort (including negligence), strict liability, or otherwise, even if we have been advised of the possibility of such damages.

10.2 Cap on Liability

Our total aggregate liability arising out of or relating to these Terms or the Services shall not exceed the greater of (a) the amount you paid us for the Services in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred Swiss Francs (CHF 100). This limitation applies regardless of the theory of liability and even if any limited remedy fails of its essential purpose.

10.3 Exceptions

Nothing in these Terms limits or excludes our liability for (a) death or personal injury caused by our negligence, (b) fraud or fraudulent misrepresentation, or (c) any other liability that cannot lawfully be excluded or limited under applicable law.

11. Indemnification

You agree to indemnify, defend, and hold harmless SearchNow.ai, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Services or Software;
• Your User Content and any content you process through the Services;
• Your violation of these Terms or any applicable law;
• Your infringement of any third-party rights, including intellectual property or privacy rights.

12. Termination

12.1 Termination by You

You may stop using the Services at any time. If you have a paid subscription, you may cancel it as described in Section 7.3. Upon cancellation, you will retain access through the end of the current billing period.

12.2 Termination by Us

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice, including if:

• You breach any provision of these Terms;
• Your use of the Services creates risk or potential legal exposure for us;
• We are required to do so by law or regulatory authority;
• We decide to discontinue the Services, in whole or in part;
• There has been an extended period of inactivity on a free account.

If we terminate for reasons other than your breach, we will make reasonable efforts to notify you and, for paid subscribers, provide a pro-rata refund for any unused prepaid period.

12.3 Survival

The provisions of these Terms that by their nature should survive termination — including ownership, intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution — shall continue to apply after any termination.

13. Modifications to These Terms

We may update these Terms from time to time to reflect changes in law, our Services, or our business practices. When we make material changes, we will post the updated Terms on this page and update the "Last updated" date. For material changes affecting subscribed users, we will also provide notice via email or through the Services. Your continued use of the Services after the effective date of the revised Terms constitutes acceptance of those changes.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms and any dispute arising out of or relating to them shall be governed by and construed in accordance with the laws of Switzerland, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply.

14.2 Informal Resolution

Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at the address provided in Section 15. If the dispute is not resolved within thirty (30) days, either party may proceed to formal resolution.

14.3 No Class Actions

All claims must be brought on an individual basis only. You waive any right to participate in a class action, consolidated action, or representative proceeding against SearchNow.ai.

14.4 Injunctive Relief

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm, including infringement of intellectual property rights.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any applicable Data Processing Agreement, constitute the entire agreement between you and SearchNow.ai regarding the Services and supersede all prior agreements and understandings.

15.2 Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15.3 No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of SearchNow.ai.

15.4 Assignment

You may not assign or transfer these Terms, or any rights or obligations hereunder, without our prior written consent. We may freely assign these Terms to any successor or affiliate in connection with a merger, acquisition, reorganization, or sale of assets.

15.5 Language

The English language version of these Terms shall be the controlling version for all purposes. Any translations are provided for convenience only.

15.6 Force Majeure

We shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government actions, internet outages, or infrastructure failures.
